STANDARD TERMS AND CONDITIONS

1. Validity Period: Our offer is valid for 1 (one) business day from the date it is presented.
2. Order Confirmation: To validate the offer form, the approved form with an authorized stamp/signature and the current company signature circular must be submitted to your sales representative or to export@sahmak.com.tr.
3. Prices and Taxes: Our prices stated in the offer do not include VAT, stamp duty, and shipping/freight charges unless explicitly stated otherwise.
4. Payment and Interest on Terms: If payment is not made by the due date specified on the invoice, the buyer shall be deemed to be in default without the need for notice. A monthly interest of 5% will be charged on unpaid invoice amounts. In the event of legal action for the collection of the receivable, legal follow-up costs and a monthly late fee of 5% will be applied to the principal invoice and interest amounts.
5. Order Cancellation and Penalty Clause: In the event of unilateral cancellation of the order approved by the buyer or failure to accept the prepared product, the total order amount will be invoiced as a penalty. The buyer irrevocably accepts, declares, and undertakes that they will not invoke the provisions of TBK Article 182/3 and that the penalty can be claimed together with performance under TBK Article 179/2.
6. Force Majeure: Our company cannot be held responsible for delays arising from force majeure events such as earthquakes, floods, fires, or raw material supply blockages.
7. Measurement and Quantity Determination: The weight, quantity, and size determination of the delivered products will be exclusively based on the records of Şahmak scales, weighing, and quality control devices.
8. Evidence Agreement: In disputes between the parties, faxes, email correspondence, and the commercial books and computer records belonging to Şahmak are considered definitive evidence in accordance with Article 193 of the HMK.
9. Delivery and Unloading: In shipments where the transportation belongs to us, the necessary crane, forklift, and other loading-unloading equipment for unloading the products at the buyer's site shall be provided by the buyer. The maximum waiting time for the vehicle, scale, and unloading is 2 hours. In cases of waiting exceeding 2 hours, 50% of the transportation fee will be charged to the buyer as a waiting fee.
10. Competent Court: In any dispute arising from this order confirmation and sales contract, the Courts and Enforcement Offices of Balıkesir shall have exclusive jurisdiction.
